1. Introduction and Acceptance of Terms

Welcome to AIpraisal ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the AIpraisal website, applications, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

You must be at least 13 years of age to use this Service. By using this Service and agreeing to these Terms, you represent and warrant that you are at least 13 years of age. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

2. Description of Service

AIpraisal is an AI-powered appraisal research and comparable analysis platform designed to assist appraisers, collectors, and professionals in researching market values for personal property, antiques, collectibles, and other items.

The Service provides:

• Image-based item identification and analysis using artificial intelligence
• Comparable sales research across multiple online marketplaces
• Visual search capabilities to find similar items
• Project organization and management tools
• Report generation and documentation features
• AI-assisted valuation suggestions and market analysis

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information. Your account may be subject to administrator approval before full access is granted.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, fraudulent activity, or extended periods of inactivity. You may also delete your account at any time through the Service settings.

4. Subscription and Payment

4.1 Subscription Plans

AIpraisal offers subscription-based access to the Service with the following tiers:

• Starter: Up to 250 items per month, 1 user seat
• Professional: Up to 2,000 items per month, up to 10 user seats
• Enterprise: Unlimited items, unlimited users, white-label reports

We reserve the right to modify pricing and plan features with at least 30 days notice to subscribers.

4.2 Free Trial

New users may be eligible for a 14-day free trial of the Service. During the trial period:

• You will have access to Professional plan features
• Trial usage is limited to 200 items and 3 team members
• No payment information is required to start the trial
• The trial will automatically end after 14 days unless you subscribe to a paid plan
• You may cancel at any time during the trial with no charge
• Trial eligibility is limited to one trial per person or organization

4.3 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew unless you cancel before the renewal date. Payment is processed securely through our third-party payment processor, Stripe.

Except for the 30-day money-back guarantee described above, subscription fees are generally non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

4.6 Usage Limits and Overages

Each subscription plan includes monthly limits on the number of items you can process using AI-powered features.

Definitions

• Item: A single object or piece of property you upload to the platform for appraisal research. Each uploaded image or manually created entry represents one item. Items are what count toward your monthly usage limit.
• Comparable Sale (Comp): A sales record from online marketplaces (such as eBay sold listings, Google Shopping, or auction results) that the system retrieves as a potential reference point for valuing your item. Multiple comps may be returned for a single item search. Comps do not count toward your usage limit.

What Counts Toward Your Usage Limit

An item is counted toward your monthly limit when you first use an AI-powered feature on it:

• AI Analysis: When the AI analyzes your uploaded image to identify the item, generate descriptions, and suggest search terms
• Text-Based Comparable Search: When the system searches for comparable sales across marketplaces using text queries
• Visual Search: When the system performs a reverse image search to find visually similar items

Each item is counted only once, regardless of how many AI features you use on it. For example, if you analyze an item and then search for comparables, it counts as one item toward your limit. Re-analyzing or re-searching the same item does not count again.

What Does NOT Count Toward Your Usage Limit

• Creating items or uploading images without using AI features
• Manually writing or editing item descriptions
• Viewing, selecting, or managing comps that have already been retrieved
• Re-analyzing, re-searching, or re-running visual search on an item that was previously processed
• Generating PDF reports
• Managing projects, team members, or account settings

If you approach or exceed your plan's item limit:

• You will be notified when approaching your limit (at 80% and 100%)
• Active subscribers may continue using AI features beyond their limit; overage charges of $0.15 per additional item apply
• Items that have been processed and then deleted still count toward your monthly usage
• You may upgrade your plan at any time to increase your limits
• Unused items do not roll over to the next month

4.7 Price Changes

We may change subscription prices from time to time. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle. You may cancel your subscription before the price change takes effect.

5. User Content

5.1 Your Content

You retain all rights to any content you submit, post, or display through the Service ("User Content"), including but not limited to photographs, item descriptions, project data, and notes. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing the Service to you.

5.2 Content Restrictions

You agree not to submit User Content that:

• Infringes on any third party's intellectual property rights
• Contains illegal, harmful, threatening, abusive, or defamatory material
• Contains malware, viruses, or any other harmful code
• Violates any applicable law or regulation
• Depicts illegal items or items prohibited from sale

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, to be objectionable or harmful to the Service or other users.

6. AI-Generated Content and Valuations

6.1 Nature of AI Assistance

The AI features in our Service are designed to assist your research and provide starting points for valuation. They are tools to enhance your workflow, not replacements for professional judgment, expertise, or certified appraisals.

6.2 No Guarantee of Accuracy

While we strive to provide accurate and helpful AI-generated content, we make no warranties or representations regarding the accuracy, completeness, or reliability of any AI-generated information. AI systems can make errors, and market conditions change constantly.

6.3 Professional Use

If you use AIpraisal for professional appraisal work, you acknowledge and agree that:

• You are solely responsible for verifying all information and valuations
• AI-generated suggestions should be reviewed and validated by qualified professionals
• Final appraisal values and opinions are your professional responsibility
• You will not represent AI-generated content as certified professional appraisals without proper verification and professional judgment
• You must comply with all applicable professional standards, certifications, and regulations in your jurisdiction

6.4 Comparable Sales Data

Comparable sales data retrieved through the Service comes from third-party sources and marketplaces. We do not guarantee the accuracy, availability, or completeness of this data. Listings may be expired, prices may not reflect actual sale prices, and items may not be truly comparable to your subject item.

6.5 Tax and Legal Disclaimer

Users are solely responsible for ensuring compliance with all applicable tax laws, IRS regulations, and professional standards. AIpraisal expressly disclaims any liability for tax penalties, audit adjustments, or legal consequences arising from the use of our Service for tax or legal purposes.

7. Team and Organization Accounts

7.1 Organization Ownership

If you create or join an organization account, the organization administrator controls the organization's data and user access. The organization (not individual users) owns all projects, items, and data created within the organization account.

7.2 Administrator Responsibilities

Organization administrators are responsible for:

• Managing user access and permissions within the organization
• Ensuring all team members comply with these Terms
• Maintaining the security of the organization account
• Removing users who violate these Terms or leave the organization
• Managing subscription billing for the organization

7.3 Team Member Access

When you join an organization, you acknowledge that:

• The organization administrator can view, edit, or delete your work within the organization
• Your access may be revoked at any time by the administrator
• Data you create belongs to the organization, not to you personally
• If you leave the organization, you may lose access to projects and data created within it

7.4 White-Label Reports (Enterprise)

Enterprise subscribers may upload custom logos for white-label reports. By uploading a logo, you represent that you have the right to use the logo and grant us a limited license to display it on reports generated through the Service. You retain all rights to your logo, and we will not use it for any purpose other than generating your reports.

8. Third-Party Services and Data

The Service integrates with and retrieves data from various third-party services and platforms, including but not limited to:

• Online marketplaces and sales databases across the internet
• Visual search engines and image recognition services
• AI and machine learning providers (Anthropic Claude)
• Authentication and database services (Supabase)
• Search and data aggregation APIs

Your use of the Service is also subject to the terms and conditions of these third-party services. We are not responsible for the availability, accuracy, or policies of third-party services.

Third-party marketplace data is provided for research purposes only. We do not control, endorse, or guarantee the listings, sellers, or transactions on any third-party platform.

9. Intellectual Property

9.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of AIpraisal and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

9.3 Restrictions

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service without our express written permission. You may not reverse engineer, decompile, or disassemble the Service or attempt to extract source code.

10. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Engage in fraud, deception, or misrepresentation
• Scrape, harvest, or collect data from the Service for unauthorized purposes
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to appraise stolen, illegal, or prohibited items
• Resell, redistribute, or commercially exploit the Service without authorization
• Use automated systems (bots, scrapers) to access the Service
• Circumvent any rate limiting, access controls, or security measures
• Impersonate any person or entity or misrepresent your affiliation

11. Disclaimers

We do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements or expectations
• Any valuations, estimates, or market data provided will be accurate or reliable

12. Limitation of Liability

This limitation applies regardless of whether the damages are based on warranty, contract, tort, statute, or any other legal theory, and whether or not we have been informed of the possibility of such damages.

In jurisdictions where limitations on liability are not permitted, our liability shall be limited to the maximum extent permitted by law. In no event shall our total liability exceed the amount you have paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless AIpraisal and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your User Content, or your violation of any rights of a third party.

14. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to:

• Acts of God, natural disasters, earthquakes, floods, or severe weather events
• War, terrorism, civil unrest, or armed conflict
• Government actions, embargoes, or regulatory changes
• Failure of third-party services, including internet service providers, cloud hosting, or API providers
• Cyberattacks, denial of service attacks, or other malicious activities
• Power outages or telecommunications failures
• Pandemics, epidemics, or public health emergencies

In the event of a force majeure, the affected party shall promptly notify the other party and use reasonable efforts to mitigate the impact and resume normal operations as soon as practicable.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the courts of Delaware.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and AIpraisal regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
